OnePass Africa Terms of Service

These Terms govern your access to and use of OnePass Africa ("OnePass", "we", "us"), a multi-tenant ticketing platform operated for African event organizers and ticket buyers. By creating an account or buying a ticket through any storefront powered by OnePass, you agree to these Terms.

1. Who we are

OnePass Africa is a software platform that lets event organizers ("Organizers") sell tickets, manage entry, and operate their own branded storefronts. Each Organizer signs their own legal agreement with their ticket buyers; OnePass is not a party to that ticket sale. We provide the underlying infrastructure: storefronts, checkout, wallet passes, scanning, and reporting.

2. Accounts

You may create two kinds of account:

- Organizer account: you onboard your event business, connect your own payment provider (Paystack), and operate a storefront under your own brand. Approval is required; we may decline or revoke at our discretion if your use of OnePass would violate these Terms, applicable law, or the Paystack Acceptable Use Policy. - Buyer account: created automatically when you complete a checkout, identified by your email and tied to a wallet card (the "MemberCard") that works across every event on the network.

You are responsible for keeping your credentials secure. Magic-link sign-in is the default; we never store passwords.

3. Payments

Organizers contract directly with Paystack. Funds settle from Paystack into the Organizer's own bank account. OnePass takes a platform fee, which is either retained from each transaction at settlement time (when the Organizer has configured a Paystack Transaction Split) or reconciled out-of-band against the Organizer's subscription plan.

Refunds are processed by the Organizer through Paystack. OnePass facilitates the request but does not hold buyer funds.

4. Acceptable use

You agree not to use OnePass to: (a) sell tickets for events that you do not have the right to ticket; (b) sell illegal goods or services; (c) attempt to circumvent ticket quotas, promo limits, or refund controls; (d) probe, scan, or reverse-engineer the platform; (e) harass other users.

We may suspend access without notice if we reasonably believe you are violating these terms, and we will work with affected buyers to make them whole where the violation impacts them directly.

5. Data and privacy

How we handle personal data is described in the Privacy Policy. Organizers act as data controllers for the buyers who purchase tickets from their storefront; OnePass acts as a processor for that data, plus a controller for the small subset of platform-level data (the cross-network wallet card, audit logs, abuse signals) that exists across Organizer boundaries.

6. Intellectual property

The OnePass software, brand, and platform features are ours. The events, brands, content, and trademarks on each Organizer's storefront belong to that Organizer. We grant Organizers a license to use the platform; nothing transfers ownership.

7. Liability

OnePass provides the platform "as is". To the maximum extent permitted by law, we are not liable for indirect, consequential, or incidental damages, lost profits, or business interruption. Our aggregate liability for any claim is capped at the platform fees you paid us in the twelve months before the claim.

This does not limit liability we cannot lawfully exclude — including for our own gross negligence, fraud, or wilful misconduct.

8. Termination

You can close your account at any time. We can terminate or suspend access for material breach of these Terms or for any reason on reasonable notice. Sections that are intended to survive termination (intellectual property, liability, governing law) do so.

9. Changes

We may revise these Terms. We will post the revised version with an updated "Last updated" date and, for material changes, give Organizers reasonable advance notice via the platform admin console or by email.

10. Governing law

These Terms are governed by the laws of the Republic of Ghana. Disputes will be heard in the courts of Ghana, unless local consumer-protection law in your jurisdiction requires otherwise.
